Autospend Consumer Card Terms — U.S.

These Autospend Consumer Card Terms (the "Card Terms") are a binding agreement between you ("you" or "your") and Signify Holdings, Inc. (the "Issuer"), the regulated entity that issues your Autospend Card under the Visa® network. Rain Holdings, Inc. ("Program Manager") provides program management, compliance, and settlement services for the Autospend Card Program. Autospend (Stable Payments Inc.) ("Autospend," "we," "us," or "our") provides the online platform, user interface, and onboarding tools to help you access and manage your Card. Autospend is not a bank and does not hold or insure your funds. Your funds are held by the Issuer in pooled custodial accounts with FDIC-insured partner banks, subject to applicable regulatory limits.

Fees may be updated or changed with notice as required by law. Certain fees may represent network pass-throughs and can vary by jurisdiction.

1. Background

The Autospend Card ("Card") is issued by the Issuer and provided in connection with your status as an Autospend customer, subject to these Card Terms and your separate Autospend User Agreement. Autospend provides technology infrastructure, while the Issuer and Program Manager manage issuance, compliance, and settlement. The Card allows you to spend available balances funded via stablecoins (e.g., USDC, USDT) or fiat conversions.

2. Defined Terms

  • "Card Networks" means payment networks such as Visa or Mastercard.
  • "Issuer" means Signify Holdings, Inc., or its regulated subsidiaries, responsible for issuing your Card and holding your funds.
  • "Program Manager" means Rain Holdings, Inc., which manages card issuance, settlement, and program compliance.
  • "Platform" means the Autospend website, app, APIs, and interfaces that allow you to manage your Card.
  • "Chargeback" means a dispute initiated against a merchant for an unauthorized or erroneous transaction.

3. Acceptance and Eligibility

By activating or using an Autospend Card, you agree to these Card Terms, the Autospend User Agreement, and applicable Issuer and Program Manager policies. To be eligible, you must: (i) be at least 18 years old (or age of majority in your state); (ii) be a U.S. citizen or lawful resident with a verifiable U.S. address; (iii) complete KYC verification under the Bank Secrecy Act (BSA); and (iv) not appear on any sanctions or watchlists (OFAC, FinCEN, or equivalent).

4. Funding, Use, and Spending Limits

Your Card is a prepaid product that draws from your available balance. You may fund your Card with supported stablecoins or fiat settlements via linked accounts. You cannot spend more than your available balance. The Issuer and Program Manager may impose per-transaction or aggregate limits and adjust them to manage risk or comply with law. Holds or pre-authorizations may temporarily reduce your available balance.

5. Prohibited Uses & Compliance

You may not use your Card for unlawful activity, including money laundering, terrorist financing, or transactions involving sanctioned entities. Autospend, the Issuer, and Program Manager comply with applicable AML/CFT and OFAC regulations and may report suspicious transactions to authorities.

6. Purchases & Transactions

Your Card may be used wherever Visa debit cards are accepted. Cash advances and balance transfers are not supported. We may limit or block certain transaction types such as gambling, cryptocurrency purchases, or cash-like transfers as permitted by law.

7. Currency Conversion & International Transactions

If you transact in a currency other than USD, Visa converts the transaction using rates selected on the processing date. Network FX and international transaction fees may apply. Merchants may also perform their own conversions at rates they select.

8. Disputes & Error Resolution

You must review your transaction history regularly. For unauthorized or disputed transactions, contact Autospend or the Issuer immediately. Disputes must be reported within 60 days of the transaction posting date. A $30 dispute fee may apply. For U.S. users, your rights under Regulation E (Electronic Fund Transfer Act) apply.

9. Security & Lost Cards

You are responsible for protecting your Card and account credentials. Notify Autospend at [email protected] immediately if your Card is lost or compromised. Once reported, your liability for unauthorized transactions is limited in accordance with Regulation E and Visa's Zero Liability Policy.

10. Program Losses & Offsets

Autospend or the Issuer may offset or deduct amounts due to chargebacks, fraud losses, or network assessments from your balance or settlement. A program reserve may be maintained to cover such losses as required by the Issuer or Program Manager.

11. Termination & Suspension

Autospend, the Issuer, or Program Manager may suspend or terminate your Card or account at any time for compliance, fraud, or operational reasons. You may close your Card at any time by contacting [email protected] and withdrawing your available funds.

12. Indemnification & Limitation of Liability

You agree to indemnify and hold harmless Autospend, the Issuer, and Program Manager from losses arising from your misuse, fraud, or breach of these Card Terms. To the maximum extent permitted by law, liability of Autospend, Issuer, or Program Manager will not exceed $100. No party is liable for indirect or consequential damages.

13. Governing Law & Arbitration

These Card Terms are governed by the laws of the State of Delaware, U.S.A. Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Venue may be Delaware or remote. Arbitration must proceed on an individual basis only; class actions are not permitted.

14. FDIC Insurance & Consumer Protection

Funds held by the Issuer in pooled custodial accounts may be eligible for FDIC pass-through insurance up to applicable limits, provided regulatory requirements are met.
