Autospend Terms of Service

These Global Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Stable Payments Inc., doing business as Autospend ("Autospend," "we," "our," or "us"). Autospend operates a financial technology platform that enables access to stablecoin-based payments, settlements, and financial services through regulated partners. By creating an account, accessing our website, or using any Autospend product, you agree to be bound by these Terms and all other policies referenced herein.
Regulatory Disclosure
Stable Payments Inc. is a corporation registered in the United States and licensed as a Money Services Business (MSB) under the U.S. Department of the Treasury's Financial Crimes Enforcement Network (FinCEN), Registration No. 31000293212574. Autospend partners with Rain Holdings, Inc. ("Program Manager"), Signify Holdings, Inc. ("Issuer"), and Borderless to facilitate card issuance, payments, and international settlement services.
1. Definitions
- "Company" refers to Stable Payments Inc., registered in the United States.
- "User" means any individual or entity accessing our website, app, or services.
- "Services" include global cross-border payments, card issuance, wallets, and financial automation tools utilizing stablecoins such as USDC and USDT.
- "Partners" refers to Rain Holdings, Inc., Signify Holdings, Inc., Borderless, and other third-party service providers that facilitate certain aspects of Autospend's operations.
- "Platform" refers to Autospend's digital interfaces, including its website, API, and mobile applications.
2. User Eligibility
By using the Autospend platform, you represent and warrant that you are at least 18 years old (or the legal age of majority in your jurisdiction), capable of entering into a legally binding agreement, and not barred from using our services under applicable laws.
3. Services Provided
Autospend is a financial technology platform, not a bank or depository institution. Financial services provided through Autospend may be facilitated by licensed partners and financial institutions. Autospend provides cross-border and domestic payment services using stablecoins such as USDC and USDT to enable efficient global transactions. Users may convert between fiat and digital currencies through approved partners. All services are subject to separate agreements, including our Risk Management Policy, AML/CFT Policy, KYC/KYB Policy, and Cardholder Agreements.
4. Account Registration and Security
To access Autospend services, you must create an account and complete identity verification (KYC/KYB). You are responsible for maintaining the confidentiality of your account credentials. Autospend may suspend or terminate your account if suspicious activity, unauthorized access, or policy violations are detected.
5. Payment Transactions
Autospend facilitates business-to-business (B2B) and personal cross-border transactions using stablecoins. All payments must comply with applicable laws and regulations, including U.S. AML/CFT and OFAC sanctions requirements. Autospend reserves the right to delay, reject, or freeze transactions suspected of fraud, sanctions violations, or other illegal activity.
6. Fees and Charges
Autospend may charge transaction, conversion, or network fees. All fees are disclosed before transaction execution. We reserve the right to revise fees with notice as required by law. Updated fees will be available on our website.
7. Compliance with Laws
Users must comply with all applicable laws and regulations, including U.S. federal and state laws, OFAC sanctions, and AML/CFT obligations. Autospend may report suspicious activity to law enforcement or regulators and cooperate with investigations.
8. Prohibited Activities
You may not use Autospend to:
- Violate any applicable law or regulation.
- Engage in fraud, deception, or illegal transactions.
- Facilitate money laundering, terrorist financing, or proliferation financing.
- Transact with sanctioned persons or jurisdictions.
- Interfere with or compromise platform security.
9. Fraud Complaints and Chargebacks
In cases of alleged fraud, unauthorized transactions, or chargebacks, Autospend reserves the right to investigate and hold funds pending resolution. Users must cooperate fully with such investigations. Autospend may reverse or cancel transactions, withhold settlements, or deduct losses from future payments.
10. Intellectual Property
All content, software, trademarks, and intellectual property on Autospend's platform are owned or licensed by Stable Payments Inc. or its partners. Users may not reproduce, distribute, or use such content without written permission.
11. Privacy and Data Protection
Autospend processes personal data in accordance with its Privacy Policy, applicable U.S. privacy laws (including the CCPA), and international standards such as the GDPR where applicable. Data transfers outside the U.S. comply with lawful transfer mechanisms under GDPR Article 46.
12. Limitation of Liability
Autospend and its affiliates shall not be liable for indirect, incidental, or consequential damages arising from your use of the services. We are not responsible for losses resulting from user error, private key management, third-party failures, or unauthorized account access.
13. Indemnification
You agree to indemnify and hold harmless Autospend, its affiliates, officers, and employees against any claims or losses arising from your breach of these Terms, misuse of the platform, or violation of applicable laws.
14. Termination
Autospend may suspend or terminate your account at any time for violations of these Terms, suspicious activity, or compliance concerns. Upon termination, any remaining obligations or fees owed shall remain payable.
15. Dispute Resolution
Any dispute arising from these Terms shall first be resolved through good-faith negotiation. If unresolved, disputes will be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). For non-U.S. users, arbitration may be conducted in London or Singapore. Class actions are not permitted.
16. Changes to Terms
Autospend may update these Terms at any time. Updates will be posted on www.autospend.ai/legal with an effective date. Continued use of the platform after updates constitutes acceptance of the revised Terms.
